I. General Terms and Condition These terms and conditions govern the terms under which you may access and use the AIMCooP AIMPLUS Platform Service. Please review these terms and conditions carefully. These Terms and Conditions form, the contract between you as a member and AIMCooP as the provider of AIMCooP AIMPLUS Platform. By enrolling in and using AIMCooP AIMPLUS Platform, you acknowledge and accept these Terms and Conditions. While we will provide a secure system within which you can conveniently carry out your transactions via the Mobile Phones, ATM Terminals, POS Terminal you shall take full responsibility for protecting your personal information and accounts once you are enrolled in the service/s and using secure communication lines and internet connection when utilizing the service/s. Before doing any online transactions or sending personal information, make sure that correct Mobile Application, ATM Terminal, POS Terminal and Internet has been accessed. AIMCooP AIMPLUS Platform can be used to access your accounts and do transactions through any Mobile Phone, ATM Terminal and POS Terminal provided that you request to specifically enroll these services. II. Definition of Terms; the following terms shall be defined as: We, us, our, AIMCooP, refer to Aurora Integrated Multipurpose Cooperative. You, “your” refers to each enrolled, registered or user of the AIMCooP AIMPLUS Platform. “AIMCooP AIMPLUS Platform” refers to AIMCoop Mobile Application, AIMCooP ATM Services and AIMCooP Point-Of-Sale. “System” refers to AIMCoop Online Operational System. “OTP” refers to as One Time PIN. “Security Codes” refers to Username, Password/PIN and OTP. “Services” refers to any products or transactions related to AIMCooP AIMPLUS Platform. III. Registration In order to use the AIMCooP AIMPLUS Platform, you must be a direct and or indirect member of AIMCooP and and register in AIMCooP AIMPLUS Platform, and comply with our registration and activation procedure. Personal Individual, Personal Joint OR Account, individual Parental by Account and Joint OR Parental by Account shall be allowed to enroll in AIMCooP AIMPLUS Platform. For joint OR accountholders, you understand and agree that all transactions to be made by any one of the enrollees via AIMCooP AIMPLUS Platform are conclusively considered as done with the consent of all co-depositors. IV. Your Obligations and Responsibility a. You agreed to abide by the obligations stated in these Terms and Conditions. b. You shall be responsible in supplying the correct, updated and accurate information in order that we can process your registration and validation of your future transaction. In mistake or incorrect transactions, as a result of the information given, shall be your liability. c. You will provide your own Mobile Number. This Mobile Number shall be the registered number as an OTP receiver in our AIMCooP AIMPLUS Platform. This OTP is a confirmation for your transactions. i. In case of loss, theft, misplaced or deactivated of your Mobile Phone and SIM Card, it is your obligation to inform and update us on your new Mobile Number; d. You can also call our Hot Line to revoke the access in AIMCooP AIMPLUS Platform in any case suspicion, loss or theft is experienced. Under no circumstances should you keep a written or electronic record of your Mobile ID and Password/PIN, nor disclose these to any other person, including family, co-employees and those with apparent authority, eg. AIMCooP officers or employees. e. It is your obligation to log off after the transactions are completed or unattended, to protect your accounts. f. Your mobile phone is your obligation. You must not leave your mobile phone unattended or permit any other person to access to your mobile phone in such a manner that he/she may access the AIMCooP AIMPLUS Platform, Security Codes or personal information, whether with or without your consent. g. You take full responsibility on the transactions incurred once your Security Codes is used and correct, and OTP is received. h. You will be provided with an ATM Card and Username and Password upon registration of AIMCooP AIMPLUS Platform, to enable you to be connected with our system and to have direct access on your account: i. It is your obligation to keep the ATM Card in a secure place and treat the ATM Card, as if it’s a cash; ii. It is your obligation to inform us once the ATM Card will be lost or damage; iii. It is your obligation to change the initial Password/PIN before any other transaction; iv. You must make it a habit to change your Password/PIN regularly, especially if you suspect its confidentiality has been compromised; v. You can also call our Hot Line to revoke the access in AIMCooP AIMPLUS Platform in any case suspicion, loss or theft is experienced. i. You are responsible for verifying transaction history details and statements to make sure that there are no unauthorized transactions. You should likewise review and reconcile monthly statements for any errors or unauthorized transactions promptly and thoroughly. It is also strongly suggested that you regularly check your e-mail for contacts by merchants for important information about transaction histories. j. It is your responsibility to ensure sufficient funds are available in your accounts at all times to cover any of your transactions, immediate or scheduled, and these accounts are active. Any charges or penalties as a result of an unsuccessful transactions due to insufficiency of funds of the account will be your sole responsibility and shall be for your account. k. You authorize us to debit the account enrolled by you for the amount of our fees and charges payable on transactions made through the AIMCooP AIMPLUS Platform. If at any time there are insufficient funds in your account to cover fees and charges, we may either refuse to carry out your transaction without incurring any liability as a result of such refusal or overdraw your account by debiting fees and charges or debit any other account you hold with us. l. You are responsible in informing us as soon as you think that there has been an error in your transaction carried out via AIMCooP AIMPLUS Platform. The AIMCooP AIMPLUS Platform will only be available in Mobile Phones, ATM Terminal, POS Terminal and data connections that meets the required specifications and configurations as may be specified by us from time to time. b. We aim to make the AIMCooP AIMPLUS Platform service seven (7) days a week, twenty-four (24) hours a day, however at certain times, some or all of AIMCooP AIMPLUS Platform may not be available due to system maintenance. c. AIMCooP may in its sole discretion and without notice from time to time, vary, alter, updating, suspend or remove any part, features and of AIMCooP AIMPLUS Platform, without giving any reason and without incurring liability whatsoever. d. Where conflicting or inconsistent instructions are received from two or more joint account holders, AIMCooP shall be entitled to act on any one of these instructions without any liability for any failure to act on the other instructions. e. We implement Cut-Offs (Philippine Time) during the day for each transaction (the “Cut-Off Time”). Transactions that carried out after the Cut-Off Time, it will be stored and processed the next Philippine Banking Day. Any loss, charges or penalties (whether impose by AIMCooP or other parties) as a result of a next day transaction will be the responsibility of the member. VI. Security and Access a. Security Codes will be issued by AIMCooP for access to our AIMCooP AIMPLUS Platform. AIMCooP may also issue additional security or activation codes that enhance the security system for access. b. AIMCooP shall not be bound or obliged for any incident of fraudulent transactions due to your negligence or improper exposure of your Security Codes. c. In some of the Selected Transactions, we will send an OTP to the registered Mobile Number to authenticate the transactions. d. We are under no obligation to verify the authenticity or authority of persons effecting your transactions in the AIMCooP AIMPLUS Platform. Such transactions be deemed correct and binding once your Security Codes is used and OTP is received. e. Until you notify us in accordance with Clause VI Section C and D, all transactions received by us which are associated with your security codes is assumed to have come from you. f. We are under no obligation should access to our system will be unavailable due to communications facility malfunction. We shall however find remedies in order access to the system will be available immediately. VII. Liability and Indemnity a. In circumstances not within our control, we shall not be responsible or liable for any loss suffered by you should the service be interfered with or be unavailable by reason: i. Any industrial actions; ii. Failure of your facilities; iii. Any other circumstances whatsoever not reasonably within our control including but not limited to error, interruption, delay or non-availability of the system, terrorist or any enemy equipment failure, loss of power, adverse weather or atmospheric conditions, and failure of any public or private communications. b. We are not be liable for any losses or damages suffered by you as a result or in connection with: i. Failure, malfunction, interruption or unavailability of the system due to your mobile phone/SIM, the Network or AIMCoop AIMPLUS Platform; ii. In the event of any unauthorized use of the system, we shall not be liable for any inconvenience or damage caused to you or any other third person; iii. Adjustments and reversal caused by incorrect entries, a missed or misdirected credits/debit to your accounts; c. Under no circumstances shall AIMCooP be liable to you any loss of profit or anticipated saving or for any indirect or consequential loss or damage of whatever kind, howsoever caused, arising out of or in connection with the services even where the possibility of such loss or damage is notified to us. d. You shall agree to hold AIMCooP free and harmless from any liability in the event of loss or damage may suffer arising out of any improper use or unauthorized disclosure of your Security Codes or other security measures with or without the member’s participation. e. You shall agree to hold AIMCooP free and harmless from any liability in the event of any inaccurate, incomplete, non-delivery, delayed delivery, or the misdirected delivery of any information used in AIMCooP AIMPLUS Plaform due to the factors affecting our mobile phone service providers or internet service provider or any factors outside our control. f. You shall agree to hold AIMCooP free and harmless from any liability in the event of such other circumstances or reasons which effectively prevent AIMCooP from implementing the transactions. g. We do not exclude our duties or liabilities under the Banko Sentral ng Pilipinas, BancNet or regulator’s Rules and Regulations. VIII. Suspension and Termination of Services: a. We may terminate your access at any time for any reason, upon giving you thirty (30) days prior notice of such termination: i. You have breached these Terms and Condition; ii. We learn of your death, bankruptcy or lack of legal capacity or that you have committed an act of bankruptcy or that a bankruptcy petition has been presented against us; iii. There are insufficient funds to cover payments or payment instruction given; or iv. We consider that we have other reasonable grounds to do so (in which case all reasonable effort will be made to advise you of the circumstances of termination or suspension). IX. Disclosure of Information a. We shall disclose, receive, record or utilized your personal and account information and any details of your use of the system: i. To our regulatory or government agencies so as to assist in the prevention, detection, investigation or prosecution of criminal activities or fraud; ii. To other Banks, dealers, agents, merchants, billers or any other partners of AIMCooP for reasonable commercial purposes relating to the services; iii. To our lawyers, auditors or other professional advisors or to any court or arbitration tribunal in connection with any legal or audit proceedings; b. For reasonable commercial purposes connected to your use the system, such as marketing and research related activities, and c. In business practices including but not limited to quality control, training and ensuring effective systems operations. X. Consent to Receive Announcement a. You hereby agree to receive information/announcements from AIMCooP regarding AIMCooP AIMPLUS Platform service downtime, advisories, featured services, and marketing promotions via mail, e-mail, call or SMS. XI. Addendum a. The terms and conditions of AIMCooP AIMPLUS Platform may be subjected to changes in order to conform with the changing conditions, or to conform with the updated Government regulations. Any change/s shall take effect only after the 15 days posting period in the AIMCooP’s premises and in social media. XII. Dispute Resolution, Jurisdiction and Arbitration a. If by your act or omission, fault or negligence, AIMCooP becomes involved in any litigation which may have relation with AIMCooP AIMPLUS Platform, the Terms and Condition of its use, or with any rights, powers and remedies hereunder, the you agree to pay all fees and expenses incurred by AIMCooP in such litigation, including but not limited to a reasonable amount for the attorney’s fees which amount is hereby agreed to be at the rate of at least 10% of the sum sought, which shall not in any way fall below Php 10,000.00 as well as the costs of suit. c. Venue of legal actions and proceedings arising out of or in connection with AIMCoop AIMPLUS Platform shall be bought in the proper courts of Aurora, Zamboanga del Sur, Philippines or any other place where AIMCooP may subsequently transfer its principal place of business. d. This agreement shall be governed by and construed in accordance with the laws of the Philippines. It shall be understood that access to and use of the AIMCoop AIMPLUS Platform shall be subject to applicable requirements and procedures of government regulatory, authorities and those prescribed by law."
